Terms Of Use

1. Scope of the Agreement

Your use of the Mirra Charts website (“www.mirracharts.com”) and any orders placed through it are governed by:

1. The license terms incorporated into any trial or registered versions of Mirra Charts applications; and
2. These Terms & Conditions, together with any notices or consents provided in connection with the Site (collectively, the “Agreement”).

“You” means either an individual acting on your own behalf, or an agent authorized to act on behalf of an entity.

By accessing or ordering through the Site (or via telephone, fax, email, mail or any other channel), you agree to the terms below.

2. Orders, Modifications & Refunds

1. Order Processing. All orders—regardless of how placed—are deemed processed upon receipt and acceptance by Mirra Charts (or its payment processors). Once processed, orders cannot be modified or canceled.
2. Accuracy of Information. By placing an order you warrant that all information you supply (billing, shipping, email, etc.) is accurate, and that you are authorized to make the purchase.
3. Trial Evaluation. You confirm that you have fully tested any trial shareware and found it suitable for your needs.
4. Payment & Collections. You agree not to withhold or dispute payment. If payment fails (e.g. dispute or insufficient funds), Mirra Charts may pursue collection and you will bear any reasonable collection costs.
5. Download Responsibility. For products delivered via download, you are responsible for obtaining the software. Failure to download does not entitle you to cancel or refund.
6. Physical Shipments. If an order is returned or undelivered due to incorrect shipping details, you agree to reimburse Mirra Charts for any replacement costs (packaging, shipping, labor). Non‑delivery alone does not entitle you to cancel or dispute the order; instead, you must arrange replacement shipment.
7. Liability. Mirra Charts’ sole obligation for any undelivered order is to replace it; you indemnify and hold Mirra Charts harmless for any claims arising from non‑delivery.

3. Software Licenses

1. License Grant. Purchasing Mirra Charts software grants you a non‑transferable license for the specific version you ordered; it does not cover future updates or releases.
2. Conveyance. Licenses are deemed conveyed when your purchase is processed.
3. Subscription‑Based Access. If you are an Accelpix Live Data subscriber, you will have access to this Mirra Charts indicator for the duration of your active Accelpix subscription. Access will automatically expire upon subscription termination or non‑renewal—no further action is required.
4. Credential Binding. Licenses are linked uniquely to your registered email address and/or phone number. Requests to change both credentials will be denied. You may request a single‑credential update only by providing:
   • A written explanation;
   • A valid government‑issued ID; and
   • Proof of purchase (invoice).
5. Termination for Breach. Mirra Charts may terminate your license if you materially breach this Agreement or the underlying software license, and fail to cure within 30 days of written notice. Upon termination you must delete all copies and registration codes; no refunds will be provided.

4. Warranty Disclaimer & Indemnification

Mirra Charts provides its software “as is,” without warranty of any kind. You assume all risk for suitability, performance and results. You agree to indemnify and defend Mirra Charts (and its suppliers) against all claims, liabilities or expenses arising from your use of the software.

5. Privacy & Confidentiality

1. Data Protection. Mirra Charts will take reasonable measures to keep your personal and payment information confidential, sharing it only as needed to process your order or as required by law.
2. Your Obligations. You will keep all Mirra Charts–provided registration codes and confidential materials secure, and will not disclose them except as necessary to install or use the software under this Agreement.
3. Breach Disclosure. If your order is fraudulent or you otherwise violate this Agreement, Mirra Charts may disclose information about you as needed.

6. Registration Codes

Your registration code is tied to the licensed user. You are responsible for safekeeping it. Mirra Charts may, at its discretion, assist with lost codes but is under no obligation to do so.

7. Your Representations

You represent and warrant that:

• You are at least 18 years old and legally capable of contracting;
• All information you provide is true, accurate and current; and
• Any shipping address you provide is secure and capable of receiving your order.

8. Electronic Communications

By ordering, you consent to receive notices and materials electronically. If a delivery via email fails, Mirra Charts’ sole obligation is to resend the material; you indemnify Mirra Charts against any claims arising from failed electronic delivery.

9. Submissions

Any feedback, suggestions or ideas you submit to Mirra Charts become Mirra Charts’ property, and may be used without restriction or compensation.

10. Site Usage License

Mirra Charts grants you a limited, revocable right to access and view the Site solely to shop under these Terms & Conditions. Mirra Charts may suspend or terminate your access at any time, with or without notice.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of India. You and Mirra Charts irrevocably submit to the exclusive jurisdiction of the courts of Chennai, India, for any disputes arising under this Agreement.

12. Entire Agreement & Amendments

This document (together with any incorporated license terms and consents) constitutes the entire Agreement between you and Mirra Charts, superseding all prior proposals. Mirra Charts may amend these Terms & Conditions at its sole discretion, providing ten (10) days’ advance email notice support@mirracharts.com; you may reject amendments by requesting termination of your access.
